Интересно, что стандартные формы предусматривают условие о том, что терм шит не является юридически-обязывающим документом (non-binding). Проще говоря, подписывая термшит, стороны соглашаются с тем, что документ не носит обязательной силы т.е. не возлагает на какую-либо сторону обязанностей (за исключением некоторых, например о конфиденциальности). Так зачем же его вообще подписывать? Таковы обычаи заключения венчурных сделок, крупных сделок о приобретении или продажи активов, сделок слияний и поглощений (M&A). В большинстве случаев, терм шит является джентльменским соглашением. Джентльменское соглашение — особый вид неформального соглашения (договоренности). В отличие от обычных договоров несоблюдение джентльменского соглашения влечёт (как правило) последствия только морального плана. Правило № 1. Пропишите в термшите условие о том, что документ не является юридически обязывающим. Если вы следуете обычаям делового оборота и подписываете NDA, а потом термшит, не особо вдаваясь в его условия, рекомендуется прописать условие о том, что документ не является юридически обязывающим, не создает права и обязанности для сторон. В противном случае, документ может быть рассмотрен судом как юридически обязывающее соглашение или предварительный договор. Так, два предпринимателя Кузнецов и Грусинский заключили термшит об основных условиях управления и контроля в SIA Energokom (Латвия) по английскому праву. Когда разгорелся спор между предпринимателями, Кузнецов утверждал, что заключенный терм шит не является юридически обязывающим. Однако, Высокий Суд Лондона решил, что само по себе слово term sheet в документе, не свидетельствует о том, что стороны не желали заключить юридически обязывающий договор и признал документ обязывающим. Кузнецов был вынужден реализовать опцион (дело New Media Holding LLC v. Kuznetsov). Правило № 2. Это не предварительный договор Российское законодательство содержит специальные особенности понуждения к заключению того самого основного договора, условия которого описаны в предварительном договоре. Поэтому, детализируя условия сделки, укажите на то, что ваш термшит не является предварительным договором, не содержит присущих предварительному договору условий. Правило № 3. Определите кто несет расходы в связи с ведением переговоров Предусмотрите условие, по которому стороны самостоятельно несут расходы на ведение переговоров, либо определите сторону, которая их несет в случае прекращения переговоров. На практике, при недобросовестном прекращении переговоров, к расходам предъявляют авиа и ж/д билеты, расходы на такси, рестораны, презентации, расходы на юридических или финансовых консультантов, что в целом создает значительный финансовый риск. Правило № 4. Ведите переговоры добросовестно В большинстве цивилизованных правопорядков, существует ответственность за недобросовестное ведение переговоров. Например, если контрагент потратил ваше время на заключение договора, а в итоге его не заключил. Такой формат ведения бизнеса является недобросовестным с точки зрения права, в том числе российского (см. статью 431.1 Гражданского кодекса РФ). Если вы планируете вдруг прекратить переговоры в связи с какими-то обстоятельствами (необходимость одобрения сделки с акционерами, наличие опционов, предложений третьей стороны по лучшим условиям и т.д.), лучше поставить вашего контрагента в известность заранее. Помимо этого, рекомендуется предусмотреть в термшите соглашение о порядке ведения переговоров и распределении расходов. Для компании Ашан недобросовестное прекращение переговоров, стоило 15,6 млн. руб. убытков, которые были взысканы в судебном порядке. Правило № 5. Проконсультируйтесь с юристом Дайте просмотреть документ юристу, имеющему опыт работы с такого рода документами и знаниями в системе общего права и права РФ.
